Tablet Loan Agreement

This Tablet Loan Agreement (“Agreement”) is entered into between Conversations to Remember, a New Jersey-based 501(c)(3) nonprofit organization (“C2R”), and the partner organization identified below (“Organization”), in connection with C2R’s tablet loan program supporting weekly virtual visits between college student volunteers and older adults.

1. Purpose of the Program

C2R will loan one (1) tablet and protective case to the Organization to support participation in C2R’s weekly virtual visit program. The tablet is provided so that seniors at the Organization can connect with their matched student volunteers for scheduled visits.

2. Eligibility and Minimum Enrollment

This loan is conditioned on the Organization maintaining a minimum enrollment of three (3) or more seniors actively signed up to participate in C2R visits at all times during the loan period.

  • The Organization must notify C2R promptly if enrollment falls below 3 seniors.
  • If enrollment falls below 3 seniors and is not restored within a reasonable period as communicated by C2R, the Organization must return the tablet and case.
  • Return shipping or delivery of the equipment in this circumstance is at the Organization’s expense.

3. Equipment Provided by C2R

  • One (1) tablet device.
  • One (1) protective case for the tablet.

C2R retains ownership of the tablet and case at all times. This Agreement grants the Organization the right to use the equipment; it does not transfer title.

4. Organization Responsibilities

  • Provide and maintain a compatible charger for the tablet at the Organization’s own expense.
  • Keep the tablet and case secure at all times, including safe storage when not in use.
  • Maintain the equipment in good working condition, consistent with normal wear and tear.
  • Prioritize use of the tablet for C2R visits; the Organization may permit other uses of the tablet, but scheduled C2R visits take priority over any other use.
  • Promptly report any loss, theft, or damage to C2R.

5. Permitted Use

The Organization is free to use the tablet for other appropriate activities benefiting its seniors (such as general computer literacy programming, entertainment, or communication with family) when it is not needed for a scheduled C2R visit, provided such use does not interfere with, delay, or displace any scheduled C2R visit.

6. Return of Equipment

The Organization agrees to return the tablet and case to C2R, at the Organization’s expense, upon the earliest of the following:

  • Enrollment of participating seniors falling below 3 and not being restored as described in Section 2;
  • Termination of this Agreement by either party;
  • Request by C2R for return of the equipment; or
  • The Organization’s discontinuation of participation in the C2R visit program.

7. Loss, Theft, or Damage

The Organization is responsible for keeping the equipment secure and in good condition. In the event of loss, theft, or damage beyond normal wear and tear, the Organization agrees to notify C2R promptly and to work in good faith with C2R to resolve replacement or repair, which may include reimbursement to C2R for the cost of repair or replacement.

8. Term and Termination

This Agreement begins on the Agreement Start Date above and continues until terminated by either party. Either party may terminate this Agreement at any time by providing written notice to the other party. Upon termination, the Organization shall return the tablet and case as described in Section 6.

9. No Warranty

The tablet and case are provided “as is.” C2R makes no warranties regarding the equipment’s fitness for any particular purpose beyond its intended use in supporting C2R visits.

10. Acknowledgment

By signing below, the Organization acknowledges that it has read and agrees to the terms of this Agreement, including the minimum enrollment requirement, equipment responsibilities, and return obligations described above.
